By accessing or using Nexio Labs, Inc.'s (the "Company", "we", "our" or "us") AI Decision Assistant called Nexio (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

The Service is an artificial intelligence tool designed to assist users in making decisions by providing information, analysis, and suggestions. The Service does not make decisions on your behalf and should not be relied upon as the sole basis for any decision.

3. User Responsibilities

3.1 Decision-Making Authority

You acknowledge and agree that:

  • All final decisions remain your sole responsibility;

  • The Service provides assistance and suggestions, not definitive answers;

  • You should exercise independent judgment and seek professional advice when appropriate; and

  • The Service does not replace professional legal, financial, medical, or other expert advice.

3.2 Appropriate Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and only in compliance with the Acceptable Use Policy, incorporate herein by reference. You agree not to:

  • Rely solely on the Service for medical, legal, or financial decisions without consulting appropriate professionals;

  • Attempt to manipulate or game the Service to produce specific outcomes; or

  • Use the Service in ways that could harm yourself or others.

4. No Professional Advice & Restrictions on Use of Service

The Service is intended to evaluate and summarize issues, questions, decisions, problems and potential solutions, and to serve as a starting point to generate concepts for solutions for the end-users to make the ultimate decision, it does not, and is not intended, provide professional advice of any kind, including but not limited to:

  • Legal advice, drafting or interpretation of laws and regulations;

  • Financial, investment, or tax advice;

  • Medical, health, or mental health advice;

  • Consulting services;

  • Regulatory guidance; or

  • Professional career counseling or employment advice.

For matters requiring professional expertise, you should consult qualified professionals in the relevant field.

Restrictions On Your Use of the Services. You may not do any of the following in connection with your use of the Service, unless applicable laws or regulations prohibit these restrictions or you have our written permission to do so:

  2. Duplicate, decompile, reverse engineer, disassemble or decode the Service (including any underlying idea or algorithm), or attempt to do any of the same;

  3. Use, reproduce or remove any copyright, trademark, service mark, trade name, slogan, logo, image, or other proprietary notation displayed on or through the Service;

  4. Use automation software (bots), hacks, modifications (mods) or any other unauthorized third-party software designed to modify the Service;

  5. Exploit the Service for any commercial purpose, including without limitation communicating or facilitating any commercial advertisement or solicitation;

  6. Access or use the Service in any manner that could disable, overburden, damage, disrupt or impair the Service or interfere with any other party's access to or use of the Services or use any device, software or routine that causes the same;

  7. Attempt to gain unauthorized access to, interfere with, damage or disrupt the Service, accounts registered to other users, or the computer systems or networks connected to the Service

  8. Circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protections of the Service, third-party systems or third-party content;

  9. Use any robot, spider, crawlers, scraper, or other automatic device, process, software or queries that intercepts, "mines," scrapes, extracts, or otherwise accesses the Service to monitor, extract, copy or collect information or data from or through the Service, or engage in any manual process to do the same;

  10. Introduce any viruses, trojan horses, worms, logic bombs or other materials that are malicious or technologically harmful into our systems;

  11. Submit, transmit, display, perform, post or store any content that is unlawful, defamatory, obscene, excessively violent, pornographic, invasive of privacy or publicity rights, harassing, abusive, hateful, or cruel, or otherwise use the Service in a manner that is obscene, excessively violent, harassing, hateful, cruel, abusive, pornographic, inciting, organizing, promoting or facilitating violence or criminal activities;

  12. Violate any applicable law or regulation in connection with your access to or use of the Service; or

  13. Access or use the Service in any way not expressly permitted by these Terms.

5. Limitations and Disclaimers

5.1 AI Limitations

You acknowledge that:

  • AI systems can make mistakes, provide incomplete information, or generate inaccurate content;

  • The Service's suggestions are based on the information provided and may not account for all relevant factors;

  • The Service's knowledge may be limited or outdated on certain topics; and

  • AI-generated analysis may reflect biases present in training data.

5.2 No Guarantees

We do not guarantee that:

  • The Service will meet your specific needs or expectations;

  • The information provided will be accurate, complete, or current;

  • Following the Service's suggestions will lead to desired outcomes; or

  • The Service will be available without interruption or error.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitations of Liability and Indemnification

TO THE EXTENT NOT PROHIBITED BY LAW, YOU ASSUME THE RISK AND WAIVE ANY RIGHT TO SEEK DAMAGES REGARDING YOUR USE OF THE SERVICE FROM STARTR LLC, AND ITS EMPLOYEES, OWNERS, AGENTS AND REPRESENTATIVES AND YOU AGREE THAT IN NO EVENT WILL STARTR LLC OR THE SERVICE BE LIABLE (A) FOR DAMAGES OF ANY KIND, INCLUDING INDIRECT SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS, BUSINESS INTERRUPTION OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER UNDER THESE TERMS OR OTHERWISE ARISING IN ANY WAY IN CONNECTION WITH THE SERVICE OR THESE TERMS AND WHETHER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE), OR (B) FOR ANY OTHER CLAIM, DEMAND OR DAMAGES WHATSOEVER RESULTING FROM OR ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE DELIVERY, USE OR PERFORMANCE OF THE SERVICE.

By accessing or using the Services, you agree that you shall defend, indemnify and hold Nexio Labs, Inc., the Service and each of their respective employees, owners, agents or representatives (collectively the "indemnified parties") harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) incurred by the indemnified parties arising out of or in connection with: (a) your violation or breach of any term of these Terms or any applicable law or regulation; (b) your violation of any rights of any third party; (c) your use or misuse of the Service; (d) any content you create using the Service; or (e) your negligence or wilful misconduct. If you are obligated to indemnify any indemnified party hereunder, then you agree that Nexio Labs, Inc. will have the right, in its sole discretion, to control any action or proceeding and to determine whether Nexio Labs, Inc. wishes to settle, and if so, on what terms, and you agree to fully cooperate with Nexio Labs, Inc. in the defense or settlement of such claim.

  • Your interactions with the Service; and

  • Usage patterns and preferences.

9. Intellectual Property

9.1 Service Ownership

The Service, including all AI models, algorithms, software, and content, is owned by Nexio Labs, Inc. and protected by intellectual property laws. The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark and other intellectual property laws. You agree that Nexio Labs, Inc. owns all right, title and interest in and to the Service (including any and all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests. Nexio Labs, Inc. reserves all rights in connection with the Service and its content (other than any content you create using the Service or User Content, as defined below), including, without limitation, the exclusive right to create derivative works.

9.2 User Content

You retain ownership of information you provide to the Service. By using the Service, you grant us a license to use, process, and analyze your inputs to provide and improve the Service.

9.3 Generated Content

AI-generated suggestions and analysis are provided for your use in accordance with these Terms. You may use this content to assist, but not rely upon, in your personal or business decision-making purposes.

You are responsible for:

  • Maintaining the confidentiality of your account credentials;

  • All activities that occur under your account; and

  • Notifying us immediately of any unauthorized access.

10.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users, at any time.

11. Modifications to Service and Terms

11.1 Service Changes

We may modify, suspend, or discontinue any aspect of the Service at any time without liability.

11.2 Terms Updates

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms shall be governed by the laws of New York, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through arbitration in the State of New York.
